Notification of new Amazon services
Payzone
- Payzone is a trading name of Post Office Limited, and Post Office Limited agreed with Amazon to offer parcel collection services (the "Amazon Services") that will be operated at a range of outlets, potentially including your Retail outlet.
- This notice set out the details and requirements related to the operation of the Amazon Services which will apply to you and your Retail outlet when you provide the Amazon Services and are in addition to the Retailer Agreement between you and Payzone, which includes the terms and conditions at Payzone.co.uk/tsandcs.
- Your Retailer Agreement is supplemented by these terms as provided for in clauses 7.3 and 7.4 of the Retailer Agreement for the Amazon Services only. The terms and conditions set out in this notice will supersede the terms and conditions of your Retailer Agreement in the event of a conflict, only to the extent of any conflict.
RETAILER OBLIGATIONS
In these terms, and the attached appendices, "you" shall refer to the Retailer.
1. AMAZON SERVICES
1.1 The Amazon Services will, unless and until otherwise communicated to you, form part of the Services under the Payzone Network Membership – Terms and Conditions.
1.2 The retail outlets at which the Amazon Services are available will change over time (primarily related to customer experience and demand requirements) and this may mean that it is withdrawn from your scope of Services at a future date.
1.3 You will, in providing the Amazon Services, receive and securely store at the Retail outlet parcels delivered by Amazon and enable their collection by Amazon customers. You have no, and waive all future rights, title, claims, liens or other charges over the parcels.
1.4 You shall comply with the additional obligations set out in Appendices 1 and 2 which set out further terms relevant to the Amazon Services.
2. PUDO DEVICE AND SOFTWARE
2.1 As part of preparing for you to start the Amazon Services, Payzone will add software for the Amazon Services and potentially other Services in the future (the “PUDO Software”) to your Payzoneplus (the PUDO Device).
2.2 Payzone provides the PUDO Software to you “as is” and to the fullest extent permitted by applicable law, disclaims all warranties, whether express or implied. Payzone does not warrant the PUDO Software will meet your requirements or operate uninterrupted, error free, or provide accurate, complete, or up-to-date information. Payzone will not be responsible for any loss, damage, or claim caused by or attributable to any defect or deficiency in any PUDO Software. This is without prejudice to Payzone’s specific obligations under the Retailer Agreement.
3. RECORDING PARCELS
3.1 You will scan all accepted parcels into the PUDO Device. 2 Classification: Confidential
3.2 Payzone relies on data input into the PUDO Device to determine the number of parcels processed by you as part of the Amazon Services. You shall be responsible for accurately recording data into the PUDO Device. You shall assist Payzone in any queries regarding such data from time to time.
3.3 Note that there may be periods during which your ability to accept new parcels is suspended on the PUDO Device. This may be for a number of reasons, such as system downtime, to manage capacity at or between retail outlets, and to trial different collection arrangements with Amazon.
4. PUBLICITY
4.1 You will display branded promotional displays at your Retail outlet as directed by Payzone from time to time to advertise availability of the Amazon Services. You will remove all such promotional displays from your Retail outlet upon the Amazon Service being withdrawn from your scope of Services.
4.2 You will not issue any press releases, promotional materials, advertisements, public announcements, external customer or internal marketing, social media posts and/or signage relating to the Amazon Services unless approved in advance by Payzone.
4.3 You will not suggest or imply the Amazon Services are a co-branded or co-sponsored initiative between you and Amazon, or Payzone and Amazon, or Post Office Limited and Amazon.
5. DATA PROTECTION
5.1 Where you process personal data on Amazon's behalf (including Amazon customer data), you will: (A) act only on instructions from Amazon or its affiliates (the data controller) set out in the table below; (B) use personal data only for the purposes of providing the Amazon Services, and not transfer it to any third parties unless required by law after notifying Payzone. As sub-processor of Payzone which processes personal data on behalf of Amazon (including Amazon customer data) you will comply with all applicable Data Protection Laws; (C) not transfer any personal data outside the countries of the European Economic Area; (D) take appropriate measures against unauthorised or unlawful processing of personal data and against accidental loss, destruction or damage; (E) help Amazon to comply with its data protection obligations including by implementing security measures and assisting Amazon in answering requests from data subjects and/or the relevant regulator; (F) keep all materials containing personal data in a safe and secure place (or if held electronically (for example account/log-in information and passwords), ensure appropriate electronic security systems are in place) so as to be ready for to demonstrate compliance at Amazon's request; (G) notify Payzone without undue delay of any unauthorised processing, breach, destruction or corruption of personal data; (H) at Amazon's direction communicated to you via Payzone, delete or return personal data and copies thereof to Amazon on termination or expiry of the Agreement; and (I) notify Amazon without undue delay if you considers that any of its instructions breach the Data Protection Laws.
